(Nasdaq: ZENA)(FSE: 49Q)(BMV: ZENA)("ZenaTech" or the "Company"), a technology solution provider specializing in AI (Artificial Intelligence) drone, Drone as a Service (DaaS), enterprise SaaS, and Quantum Computing solutions, today unveiled its proprietary artificial intelligence software suite and planned integration across its DaaS land survey operations. By pairing ZenaDrone high-density LiDAR (Light Detection and Ranging) data acquisition with automated feature extraction and point cloud classification, ZenaTech plans to accelerate survey-grade data delivery time from days to as little as minutes across commercial land surveying, municipal and infrastructure projects for DaaS clients across North America and around the world. The combined platform is currently in the development and testing stage. ZenaTech, Inc. is a B2i Digital Featured Company. See the company’s in-depth profile at: https://b2idigital.com/zenatech-1   “Land survey delivery has traditionally been limited by manual post-processing, which caps how many projects a survey team can complete,” said Shaun Passley, Ph.D., CEO of ZenaTech. “By integrating our AI software directly into ZenaDrone DaaS operations, we aimto automate the heavily manual work of point cloud classification and CAD linework generation, so the same crews and drones can deliver turn-key, actionable intelligence to clients faster and with consistent quality. As we apply our AI suite across our AI tools growing network of DaaS subsidiaries, we believe it can improve operating efficiency and support the scalable, recurring revenue model at the center of our DaaS strategy.” The combined platform is designed to bridge hardware data collection with AI-driven point cloud processing. A ZenaDrone land survey drone equipped with high-density LiDAR captures a site as a point cloud, a dataset that can contain billions of individual 3D measurement points. ZenaAI is then intended to run automated geospatial workflows on that data, classifying each point by what it represents, converting the classified data into terrain models and vector drawings, removing noise, tagging infrastructure assets and exporting the results in formats that survey and engineering teams can use directly. Its key planned capabilities include: Automated Point Cloud Classification: Designed to use deep learning neural networks to rapidly parse billions of 3D LiDAR points, separating ground returns from dense canopy, buildings, utility lines and surface vegetation to generate true Digital Terrain Models (DTM) Automated Feature Extraction and Linework: Computer vision algorithms are intended to detect and vectorize critical planimetric features, including curb lines, pavement edges, retaining walls and structures, and export them directly into CAD and BIM (Building Information Modeling) formats Rapid DaaS Turnaround: By replacing manual point-picking and heuristic scripting, the AI software suite is being designed to reduce post-processing workflows by as much as 80% and shorten survey turnaround time, allowing DaaS survey teams to deliver fully classified datasets within hours of flight completion Smart Noise Filtering and Asset Tagging: Automated artifact suppression is intended to clean airborne noise, multipath errors and scan overlap, while semantic tagging logs discrete infrastructure assets, such as manholes, hydrants and utility poles, with millimeter-level precision Point cloud classification and linework have traditionally required skilled technicians to work through by hand, which can take days and limits how many projects a survey team can complete. ZenaTech believes that automating these steps could raise surveying productivity, allowing the same drones and crews to deliver more projects faster and potentially improving margins over time. As proprietary software, the AI suite is also intended to add a scalable SaaS layer to the Company’s acquisition-led DaaS strategy, applying a consistent processing workflow across the surveying businesses it acquires and supporting its recurring revenue model for commercial, municipal and infrastructure clients that rely on timely data for planning, design and construction.   The AI-powered LiDAR processing is currently in development with testing across DaaS land surveying, infrastructure monitoring and utility inspection projects expected next year. The Company will provide updates on launch and rollout as milestones are achieved. ZenaTech’s Drone as a Service (DaaS) division provides on-demand turnkey drone piloting, data capture, and data processing services to commercial, government, and infrastructure customers, allowing them to access aerial data and automation without owning or operating their own drone fleets. The division is being built through an acquisition-led strategy that combines local low-tech service providers into a global network, creating a scalable platform for delivering recurring-revenue aerial and data services such as surveying, inspections, power washing, and construction progress monitoring. The transaction is expected to close by the end of 2026, subject to customary closing conditions, including regulatory approvals, after which Invictus Investment will remain the majority shareholder. Founded in 1998, Merec is Mozambique’s largest flour milling company, processing wheat and corn into an integrated product portfolio spanning flour, pasta, biscuits and animal feed. Its mills, production facilities and silos are strategically located in each of Mozambique’s three principal port regions: Beira, Maputo and Nacala – making it the only miller with manufacturing facilities in all three. Merec also owns a grain terminal at the port of Maputo. This footprint supports a nationwide distribution network serving wholesalers, retailers, bakeries, feed producers and distributors, underlining Merec’s important role in the production and supply of essential food products across Mozambique. Invictus Investment acquired Merec in January 2025 through the purchase of its holding company, Stratton Africa Holdings Limited, as part of its strategy to expand its agro-food business in high-potential African markets and strengthen its capabilities across the value chain. Since the acquisition, Merec’s operating performance has improved significantly, and this has prompted a more ambitious growth strategy to expand the business beyond its core operations into new food categories in Mozambique and across the wider Southern African Development Community (“SADC”) region. The new partnership will support these plans by combining Invictus Investment’s expertise across the agro-food value chain with Helios’ track record of investing in and supporting market-leading businesses across Africa. Together, the shareholders will also work on furthering Merec’s governance framework, leadership capabilities, ESG practices and broader development impact. Commenting on the announcement, Amir Daoud Abdellatif, CEO of Invictus Investment, said: “We welcome Helios, one of Africa’s leading private equity investors, as our partner in the expansion of Merec. With its strong focus on high-growth sectors across the continent, Helios’ regional expertise will be instrumental in accelerating Merec’s next phase of growth. Since Invictus Investment’s acquisition of Merec, its position as Mozambique’s largest flour milling company has been strengthened and consolidated, and now, our shared ambition with Helios is to build on the business’s contribution to food security and local employment in Mozambique and develop it into a regional food platform for Southern Africa. This partnership aligns perfectly with our strategic approach to acquisitions, which has always been to build strong businesses alongside high-calibre partners that support our long-term vision of building a fully integrated agro-food enterprise.” Tope Lawani, Co-Founder and Managing Partner of Helios Investment Partners, added: “Merec has built a distinctive position in Mozambique, with a nationwide footprint, strong brands and an important role in the country’s staple foods market. The consumer non-discretionary sector is a key strategic focus for Helios, and we bring a proven track record of investing in and scaling resilient businesses that serve essential consumer needs across Africa. We see significant opportunity to build on Merec’s strengths and are pleased to partner with Invictus Investment and the management team to support the company’s next phase of growth.” Akin Gump Strauss Hauer & Feld is acting as legal counsel to Helios, with GDA Advogados as Mozambican counsel. Abdul Kamara, Officer in Charge, Vice President of the African Development Bank Group, and Tim Reid, Chief Executive of UK Export Finance, signed the agreement on 21 October in Conakry, Guinea, on the sidelines of the fifth UK–West and Central Francophone Africa Trade and Investment Forum (WCAF V). It is the first framework agreement between the two institutions. “Africa’s financing needs call for partnerships that bring additional capital to the continent at scale. This agreement with UK Export Finance gives our cooperation a structured framework and opens new opportunities to finance the infrastructure and investments that will drive Africa’s growth,” said Abdul Kamara, OIC Vice President of the African Development Bank Group. The Memorandum of Understanding provides a framework for the two institutions to identify, assess and develop co-financing opportunities for sovereign and non-sovereign operations in the Bank’s regional member countries, drawing on each institution’s financial instruments. The partnership will bring together development finance and export credit to crowd in additional capital for Africa’s strategic investments. Priority areas include energy, infrastructure, water and sanitation, health, digital infrastructure, critical minerals, supply chain resilience, alongside agriculture and trade finance. “This agreement deepens the relationship between UK Export Finance and the African Development Bank Group. By combining our financial instruments and expertise, we can unlock greater co-financing for the infrastructure, energy and trade priorities that matter most to Africa's growth. UKEF is committed to supporting that ambition, and this partnership will help us do so at greater scale”, said Tim Reid, Chief Executive, UK Export Finance. The partnership supports the Bank Group’s efforts to mobilise capital at scale, in line with its Four Cardinal Points (https://apo-opa.co/4jHBqUh) strategic priorities. The agreement also reflects the long-standing partnership between the Bank Group and the United Kingdom. The United Kingdom joined the African Development Fund (ADF) in 1973 and became a member of the African Development Bank in 1983. He remains a major contributor to the African Development Fund, which is the Bank Group’s concessional financing window. The UK Export Finance, established in 1919 as the world’s first export credit agency, provides finance and insurance to support UK businesses and is increasingly active across Africa. A scientific study - conducted in collaboration with the Chair of Aquatic Systems Biology at the Technical University of Munich (TUM), under the leadership of Prof. Dr. Jurgen Geist - has yielded positive interim results regarding the use of Algene’s microalgae as a feed component in shrimp farming. After only a few days of testing, statistically significant differences in consumption rates were observed between the control group (fed without Spirulina) and the group receiving feed enriched with 100% Spirulina. These interim findings suggest that the Algene product has a positive influence on shrimp growth. Should these results be confirmed as the study progresses, the high-purity, entirely natural Spirulina microalgae could generate significant economic advantages for aquaculture producers. The study is scheduled to conclude in November. According to market studies, the global aquaculture market is projected to grow from USD 653.8 billion in 2026 to USD 1.2 trillion by 2034, representing a compound annual growth rate (CAGR) of 7.3% over the forecast period. The aquaculture market encompasses the breeding, rearing, and harvesting of various fish species, shellfish, and aquatic plants.  Confirming the positive interim findings with final results would provide a "proof of concept" for the use of Spirulina microalgae. The study, conducted in collaboration with the Technical University of Munich (TUM), is well-positioned to effectively support and accelerate Algene’s successful entry into the aquaculture market. Algene is currently in advanced discussions with potential customers within this dynamically growing sector. Kai Maximilian Keller, CEO of Algene Holding SE, stated: "The interim results from the study are extremely promising. Organized by the African Energy Chamber (AEC) (https://EnergyChamber.org), the October 12–16 conference brought together more than 12,000 international delegates, including government officials, national oil companies, private operators, financiers and technology providers. The summit secured more than $17 billion in total commitments, while governments presented new investment opportunities and companies formalized strategic partnerships. Discussions covered upstream development, energy infrastructure, digital technologies and workforce training, with commercial initiatives designed to move projects closer to financing and implementation. Returning as Africa’s Biggest Energy Marketplace The Cape Town International Convention Centre (CTICC) hosted a conference built around connecting project developers with investors. Two dedicated platforms anchored its commercial program: the Premier Invest Deal Room and the African Farmout Forum. Organized by Premier Invest, the Deal Room presented 15 oil, gas, infrastructure and power projects seeking more than $16 billion in investment. Project sponsors pitched opportunities to potential financiers, including development finance institutions, commercial lenders and institutional investors. Proposals covered upstream exploration, LNG infrastructure, gas-to-power facilities and downstream development. The African Farmout Forum, held October 12 with Moyes & Co, Farmout Angel and Envoi Ltd, showcased 23 investment opportunities across established and frontier African basins. Operators delivered five-minute pitches covering assets, technical data and investment terms, while a dedicated Wall of Farmouts and investor meetings facilitated discussions around equity farm-downs and joint ventures. National Investment Strategies African governments used AEW 2026 to promote licensing opportunities, outline regulatory reforms and attract capital for exploration and production. Ivory Coast presented its ambition to become a regional energy hub by 2035, backed by a $10 billion energy expansion strategy. The government highlighted the Calao and Calao South blocks as opportunities for foreign exploration and production companies. Liberia launched its 2026 Direct Negotiation Petroleum Licensing Round through the Liberia Petroleum Regulatory Authority. The round offers 15 blocks across the Liberia and Harper basins, supported by 50,000 line-km of 2D seismic data and 31,000 km2 of 3D seismic coverage. Meanwhile, Gabon outlined petroleum code reforms intended to attract exploration investment through more flexible contractual terms, lower entry costs and streamlined approvals. Uganda reaffirmed its commitment to first oil from the Lake Albert developments while advancing plans for a 60,000-barrel-per-day (bpd) domestic refinery targeted for completion by 2030. Senegal presented 104 blocks to investors, expanding access to deepwater and onshore acreage, while Algeria promoted seven onshore exploration blocks in its anticipated bidding round, with Sonatrach highlighting available geological data and development potential. Major Deals and Partnerships AEW 2026 produced several corporate agreements spanning energy data, offshore operations, digitalization, aviation fuels and infrastructure research. The AEC and S&P Global Energy signed a five-year strategic partnership focused on improving African energy data transparency and market intelligence. The collaboration will support energy outlooks and analysis intended to inform investment decisions. Angola’s Etu Energias, Chariot and BW Energy announced a tripartite agreement aimed at advancing offshore development by combining local operating capabilities with international technical expertise. The South African National Petroleum Company (SANPC) and SLB agreed to collaborate on digital transformation, including cloud-based data systems and advanced subsurface technologies. Sasol and White Desert formalized a sustainable aviation fuel offtake agreement to support commercial supply and distribution. Meanwhile, Imbono and the University of Cape Town announced a three-year partnership linking academic research and commercial investment to develop future-ready infrastructure. Project Announcements and Updates Senegal’s Petrosen outlined progress on the Yakaar-Teranga gas project, targeting a final investment decision by the end of 2027. The ultra-deepwater development remains a significant opportunity to expand domestic gas supply. In Mozambique, Eni confirmed that drilling for its Coral North FLNG project would begin in November 2026, advancing development in the country’s offshore gas sector. Furthermore, TotalEnergies also announced that it had secured a deepwater drillship for an upcoming exploration and appraisal campaign offshore Nigeria. The campaign is expected to advance work on prospects in the country’s deepwater acreage. Workforce Development and Capacity Building AEW featured initiatives to strengthen Africa’s technical and financial skills base. The AEW Future Leaders Student Challenge recognized three leading university teams for engineering solutions and financial modelling aimed at addressing energy-sector development challenges. The ExxonMobil Foundation STEM Africa Challenge gave African students a platform to present technology and engineering concepts addressing energy access. The initiative focused on student-led solutions for clean energy, decentralized solar power and off-grid applications. Beyond the Conference Floor Networking continued through the African Energy Awards and Gala Dinner, which recognized leadership, exploration achievements and institutional reforms across the sector. The Just Energy Transition Concert at the Grand Africa Café combined African musical performances with opportunities for delegates to build commercial relationships. Business-to-business meetings, corporate breakfasts, ministerial roundtables and beachfront receptions extended discussions beyond formal sessions. Together, the investment platforms, national showcases, corporate agreements and project updates positioned AEW 2026 as a major meeting point for African energy stakeholders seeking capital, partners and routes to project execution. The influential campaign is delivered by Choithram International Foundation (https://www.Choithrams.com/) in association with Noor Dubai Foundation, led by CEO Dr. Manal Taryam as part of Mohammed bin Rashid Al Maktoum Global Initiatives (MBRGI), and the Ministry of Health, Sierra Leone alongside Choithram Memorial Hospital, reflecting a shared commitment to world‑class eye care and the elimination of preventable blindness. Download Document: https://apo-opa.co/4ihCOKT Download Infographic: https://apo-opa.co/4z72uky Conceived in 2024, the multi‑year initiative has restored sight to thousands of Sierra Leoneans through free cataract surgeries, community screenings, and long‑term capacity building. Cataracts remain the leading cause of blindness in the country, where the 2021 RAAB study found that 5.4% of adults over 50 are blind, with cataracts responsible for nearly 60% of cases. A newly published peer-reviewed study in BMJ Open provides important evidence from the programme's first implementation cycle, demonstrating improvements in patients' vision-related quality of life while highlighting the operational challenges and adaptations necessary to deliver cataract services in resource-constrained settings. A Year of Acceleration The second surgical cycle, conducted between March and August 2026, marked a turning point. More than 5,768 adults were screened or consulted, 2,460 received medical treatment, and 1,522 cataract surgeries were performed, all this while also managing additional surgical interventions and referrals. It makes Year Two one of the largest eye‑care outreach efforts in Sierra Leone’s history, with patients travelling from across the country and neighbouring Guinea and Liberia, underscoring the programme’s growing regional reach and influence. Capacity building, a core goal of the campaign, has also seen a clear uptick. Seventeen ophthalmic professionals were trained across clinical and surgical roles, including cataract surgeons, ophthalmology nurses, OT nurses, and registrars, further strengthening the country’s long‑term eye‑care workforce. WHO (World Health Organization) notes that more than 80% of global vision impairment is preventable or treatable, underscoring the importance of programmes that combine service delivery with long‑term capacity building. This aligns with WHO’s 2030 global eye‑care targets, which call for major increases in effective cataract surgical coverage and sustained investment in national eye‑health systems. Two operating theatres ran simultaneously at Choithram Memorial Hospital, supported by Sierra Leonean staff trained through monthly exchanges with Choithram Netralaya (India). Every patient received surgery, medication, transport, accommodation, and follow‑up care at no cost, establishing a model that continues to set a benchmark for accessible eye care in the region. To help ensure that the programme delivers lasting impact, researchers Dr Gabriel Osei-Anokye and Dr Ving Fai Chan from Queen’s University Belfast (QUB) and Dr M Mansur Rabiu from Noor Dubai Foundation are leading a comprehensive evaluation. The evaluation examines programme efficiency, patient satisfaction, quality of care, and changes in patients’ quality of life following cataract surgery. Aligned with WHO standards, the research assesses not only improvements in vision and clinical outcomes, but also the wider psychosocial and socioeconomic benefits of restoring sight among people who have limited access to cataract services. Drawing on expertise in global health and eye care, the team is generating evidence to identify what works, where improvements can be made, and how lessons from the programme can inform future outreach. These findings will support the continued strengthening and sustainability of cataract services in Sierra Leone and provide learning that may be relevant to similar programmes elsewhere. Human Impact at the Centre For many beneficiaries, restored sight means restored independence. One patient, Isatu Kamara, shared: “My right eye is now very bright. I am happy with the result and I look forward to coming back next year for the left eye.” Such stories reflect the programme’s broader social impact, enabling farmers to return to work, caregivers to regain mobility, and older adults to reconnect with their families. Quality of life improves immediately, restoring dignity and participation in socio‑economic life. Independent Evaluation Published in BMJ Open Strengthens the Evidence Base A peer-reviewed study published in BMJ Open on 9 October 2026 evaluated the programme's first implementation cycle (February–August 2025), examining its achievements, operational challenges and adaptations during implementation. Led by researchers from Queen's University Belfast and programme partners Noor Dubai Foundation, the study reported that 9,117 individuals were screened and 1,433 cataract surgeries performed in Year One of the cycle. Among 271 patients with complete follow-up assessments, vision-related quality of life improved significantly by an average of 17 points, particularly in mental health, near-vision and distance-vision activities. Beyond these achievements, the evaluation highlighted important challenges, including workforce limitations, transportation barriers, incomplete clinical records and low postoperative follow-up attendance, with only 19% returning at one month. The findings emphasise that successful cataract outreach requires more than delivering surgeries; it also depends on effective referral pathways, continuity of care and responsive programme management. Lessons from the first cycle have helped identify opportunities to strengthen subsequent implementation cycles and offer valuable insights for similar programmes in resource-constrained settings. Voices from the Partnership Mr. L.T. Pagarani, Chairman, Choithrams Group “Goodness inspires more goodness, and this second year of our cataract outreach shows exactly that. After restoring sight for hundreds of people in our first cycle, we returned with even greater resolve to deepen our collaborative action. We are grateful to the Government of Sierra Leone, especially the Ministry of Health, for their partnership, and to Noor Dubai Foundation for their leadership and guidance. Above all, we honour the dedication of our doctors and staff whose work makes this impact possible. The celebration of restored vision belongs as much to the beneficiaries as it does to all of us who believe in the power of service to society.” Drs. Gabriel Osei-Anokye and Ving Fai Chan, Queen’s University Belfast “The progress we see in this second year is the careful reflection, rigorous evaluation, and a shared commitment to learning from the first cycle. Our research shows that when cataract programmes use evidence to continually improve how services are delivered, the benefits extend far beyond better vision. People regain mobility, confidence, independence, and the ability to participate more fully in their families and communities. Sierra Leone’s experience shows how strong leadership, continuous learning, and cross-sector collaboration can deliver high-quality outcomes even in challenging settings. Restoring sight is therefore more than a medical intervention; it is about enabling people to regain independence, opportunity, and their place in community life.” Looking Ahead: A Bigger, Faster, More Connected Year Three The programme now moves into its third cycle, scheduled from January to April 2027, marking another step in Sierra Leone’s long‑term journey toward eliminating avoidable blindness. With approximately 80 working days earmarked for clinical interventions, partners aim to perform 2,500 to 3,000 cataract surgeries, the most ambitious target yet, reflecting rising demand and growing national capacity. Preparations are already underway. Level 1 screenings began on 1 September, with a deliberate focus on rural provinces where access to eye care remains limited. Strengthening collaboration with district health authorities is central to this next phase, ensuring increased referrals and earlier identification of at‑risk patients. Operationally, Year Three will rely on the expanded cadre of Sierra Leonean ophthalmic staff trained during the first two cycles, supported by ongoing mentorship from Choithram Netralaya (India). With an average of 40 surgeries per day, the programme is moving steadily toward domestic clinical self‑sufficiency while maintaining world‑class standards of care. Prime Minister Dr. Moustafa Madbouly and Minister of Defense and Military Production, Lieutenant General Ashraf Salem Zaher attended and Minister of Interior Major General Mahmoud Tawfik, Minister of Foreign Affairs, International Cooperation, and Egyptian Expatriates Dr. Badr Abdelatty and the Chief of the Armed Forces Operations Authority, also Head of the National Authority for Crisis and Emergency Management Lieutenant General Mohamed Abdel Rahman Rabie participated in the session. The Spokesman for the Presidency, Ambassador Mohamed El-Shennawy, stated that the session started with screening of film that highlighted the efforts of state institutions, mainly the Ministry of Interior, to ensure security and safety for citizens, particularly since January 2011. The Minister of Interior outlined the efforts undertaken to advance the security apparatus, combat criminal activity, restore security to Egyptian streets, and ensure a rapid response to citizens' reports. As an example, he noted a significant decline in vehicle thefts—a reduction of 94%. He further explained that the Ministry of Interior has implemented a comprehensive strategy to reshape security operations in light of evolving criminal tactics. This strategy is built upon five pillars: upgrading police facilities and equipping them with modern technology to keep pace with advancements across various sectors; establishing an integrated, science-based security framework that utilizes AI and early detection of criminal patterns to devise effective countermeasures—a process that required modernizing operations centers across all governorates and linking them to a central hub; developing human capital—a prerequisite for the success of this framework—which involved creating new specialized security functions, including units focused on cybercrime, intellectual property, and the early monitoring of terrorist organizations; fostering public awareness to serve as a vital line of defense against attempts to undermine national stability and public safety; and finally modernizing penal policies regarding convicts. The Chief of the Armed Forces Operations Authority, also Head of the National Authority for Crisis and Emergency Management, outlined the operational mechanisms of both the In his remarks, the Minister of Foreign Affairs noted that foreign policy has become a matter of interest to all segments of Egyptian society primarily because it is an extension of domestic policy and the two are interconnected. An effective foreign policy stems from domestic stability, while events abroad, in turn, impact the internal situation. He noted that Egypt is surrounded by nations experiencing crises and conflicts, which directly concern Egypt’s national security. He highlighted that Egypt maintains strategic ties and partnerships with various global powers, managing them with wisdom in accordance with the doctrine of "strategic balance" established by the President. Regarding Red Sea security, he noted that Egypt is working to achieve security and stability, in cooperation with the littoral states, by fostering partnerships across various sectors—including logistics, the economy, and tourism development. As for the African sphere, the Minister emphasized that Egypt’s economic and developmental future is intrinsically linked to development across Africa. He noted that the President has made 38 visits to African nations—an unprecedented number—underscoring that this outreach strengthens solidarity with the African countries. The Minister of Foreign Affairs described the issue of water security as an existential matter, asserting that the lives of 110 million Egyptians can not be made contingent upon the unilateral will of any other party. He stressed that Egypt merely calls for the application of international law. He further outlined the principles guiding Egypt’s policy toward the Horn of Africa: non-interference in the internal affairs of other states; respect for the unity and sovereignty of these nations—with a firm rejection of any secession, partition, or fragmentation in the Horn of Africa and the facilitation of maritime access through coordination and agreement with neighboring states. The Minister reaffirmed Egypt’s historic ties with Sudan, emphasizing its support for Sudan's unity and stability. He stated that Egypt will not permit the division of Sudan, nor will it allow the collapse of its state institutions. Furthermore, he noted that Egypt continues to engage with other regional stakeholders to pursue a political solution in Sudan. Regarding the Palestinian issue, the Minister reaffirmed the President’s steadfast position that rejects the displacement of Palestinians. He also highlighted Egypt’s ongoing efforts to ensure the continued flow of humanitarian aid, which exceeded one million tons, through the Rafah crossing, while working to preserve the Palestinian cause against schemes aimed at its liquidation and striving to achieve Palestinian consensus. The President made an intervention to emphasize that undermining state institutions is a recurring tactic intended to cause the collapse of states—a pattern clearly evident during 2011. The President pointed out that the Armed Forces and the Ministry of Interior serve as the two pillars of national security, noting that the Ministry of Interior remains a target. The President further observed that a review of events over the past few years reveals that the idea of targeting and building a negative impression of the Ministry of Interior's practices is persistent, and that there is sometimes unintentional participation in building this impression through daily interaction with events. In this regard, the President stressed that this places a burden on the Ministry of Interior to adopt initiatives to improve and maintain the public's perception of the Ministry. The President reiterated that the targeting of the security institution in 2011 was among the objectives of implementing the plan against the Egyptian State. President El-Sisi emphasized the necessity of preserving state institutions, noting that the failure to protect them is what leads to the collapse of states, which in turn causes severe problems. The President pointed out that the current situation in the region illustrates this reality. President El-Sisi emphasized the need to refresh public memory and shed light on the events of 2011 to ensure that they are not repeated. The President referred to the attacks targeting security forces, the storming of police stations and prisons, and the escape of 33,000 prisoners, along with the resulting repercussions.  President El-Sisi mentioned that what had been accomplished regarding the construction, redevelopment, and modernization of reform and rehabilitation centers, stemmed from an ethical, religious, and humanitarian perspective, ensuring the principle that a person should not be punished twice for the same offense. Accordingly, the focus was placed on rebuilding individuals' character and transforming convicted persons into productive members of society. This prompted the state to convert prisons into correctional and rehabilitation centers. The President underscored the importance of arranging visits to these centers to assess the efforts made in this regard.  President El-Sisi reaffirmed that the massive damage inflicted on the country before 2011 had prompted the state to consider a new approach to the security sector's responsibilities concerning detention conditions, an area that is also being targeted. The President therefore instructed the Ministries of Defense and Interior to develop ideas and initiatives for maintaining continuous communication with the Egyptian people, ensuring that no rift occurs between the people and state institutions. President El-Sisi stated that the fundamental constants of Egypt's foreign policy since 2014 have been based on non-interference in the internal affairs of other states, refraining from conspiracies, preserving the unity of the nation-state and its institutions, refusing to engage with armed militias, cooperating in reconstruction, development, and nation-building, and pursuing positive engagement through balanced relations with all parties. The President stressed the need to to adhere to strategic balance and avoid letting the state be driven into taking actions or steps based on popular pressure. The Minister noted that the volume of treated water being reused had reached 23.2 billion cubic meters annually. These efforts aim to protect citizens from the effects of any unilateral measures that might be taken, mitigate the consequences of climate change, and respond to population growth. He also reviewed details of several projects implemented in Egypt to secure water supplies. With regard to the Ethiopian dam, the Minister noted that Egypt had exercised patience and consistently handled the situation with calm at all times. The Egyptian state had done everything within its power on this issue, both through negotiations and through the Declaration of Principles agreement, which served as a step toward demonstrating Egypt's good intentions toward the Ethiopian people. Unfortunately, however, the Ethiopian side failed to implement the Declaration of Principles. The Minister further explained that negotiations hosted by Washington had resulted in an agreement approved by the Ethiopian and Sudanese sides, as well as Egypt. The agreement was balanced and served the interests of all parties. However, the Ethiopian side withdrew before signing it. Matters subsequently evolved into different tracks that yielded no results until the Egyptian state decided not to continue negotiations. The Minister also pointed out that the Nile Basin comprises more than just Ethiopia. During President El-Sisi's tenure, Egypt's relations with the other countries of the southern Nile Basin had reached their highest levels. This cooperation had taken various forms, including Egyptian investments totaling $120 million in these countries; projects involving water wells, dams, and flood protection; technical support for establishing meteorological forecasting centers; and reciprocal visits. The Minister noted that solutions were available, but achieving them required the necessary goodwill from all parties. He noted that it would be possible to establish an electricity grid connecting Egypt with all Nile Basin countries. Consequently, electricity should not be used as a justification for building dams, since electricity is a technical issue that can be resolved in the future. He added that if the goals of building dams were to share water resources, the Nile Basin countries receive approximately 7,000 billion cubic meters of rainfall, which could be harnessed, collected, and directed toward agriculture, drinking water, or industry. The Minister explained that the Nile Basin's annual water resources range from 1,600 to 2,000 billion cubic meters, while Egypt receives 55.5 billion cubic meters annually. This represents less than 3% of the rainfall across the Nile Basin countries. This indicates that there is no water shortage across the Nile Basin as a whole, whereas Egypt faces a water crisis because of its limited water resources. Accordingly, Egypt and the other Nile Basin countries could cooperate to harness available water resources and achieve mutual benefits for all countries in the basin. President El-Sisi concluded his remarks by emphasizing the need to continue strengthening Egypt's capabilities and ensuring that Egyptian public opinion remains resolute and strong, given the numerous risks facing the country, which are not limited to the Ethiopian dam. The President added that Arab national security is indivisible, stressing that the stability of Egypt's brothers in the Gulf is a matter of concern to Egypt from a national security perspective. The President further emphasized the need to restore stability throughout the Arab world, including in Sudan, Libya, and Somalia, affirming that Egypt's support for the Gulf states is an extension of the shared Arab national security framework. President El-Sisi also pointed out that Egypt's military efforts are intended to defend the territory of the Kingdom of Saudi Arabia and do not include launching attacks on Yemen. The President reiterated that the objective is to defend the Kingdom's territory and borders, as well as the territory of any other Arab state if requested of Egypt, and that Egyptian military deployment does not extend beyond Egypt's borders except to aid a sisterly country whose security and stability Egypt is keen to safeguard. The session was attended by Prime Minister Dr. Moustafa Madbouly, Minister of Supply and Internal Trade Dr. Sherif Farouk, Minister of Water Resources and Irrigation Dr. Hany Sewilam, Minister of Agriculture and Land Reclamation Alaa Farouk, and Head of the Future of Egypt Authority for Sustainable Development Dr. Bahaa El-Ghannam. Also in attendance were MP Ehab Mansour, Deputy Chair of the Manpower Committee; MP Abdel Moneim Imam, head of the Justice Party; Dr. Ahmed Ramadan, a lecturer at the Faculty of Agriculture, Fayoum University; and Eid Mersal, head of the General Union for Workers in Agriculture, Irrigation, Fisheries, and Land Reclamation. The Spokesman for the Presidency, Ambassador Mohamed El-Shennawy, said the session addressed the Egyptian state's efforts since 2014 to enhance the availability of food commodities and achieve food security. This included expanding and developing agricultural land and land reclamation. The session also reviewed state initiatives to ensure that subsidies reach those who truly deserve them, as well as efforts to strengthen the food subsidy system, maintain a stable strategic reserve of essential commodities, and increase the number and storage capacity of silos. President El-Sisi made an intervention to emphasize that the cash-based subsidy system the state intends to implement is more equitable, transparent, and well-governed. The President explained that data on citizens has been consolidated for inclusion in this system, ensuring full transparency and robust governance. Regarding matters related to supply agriculture, the President highlighted the importance of striving to maximize livestock production, noting the numerous benefits this would yield. The President emphasized that all governors, officials, head of villages and citizens should work toward the goal of replacing existing livestock breeds with improved ones to boost production. The President added that Egypt’s strategic reserves of essential commodities are sufficient for a period of six months, taking into account disruptions in supply chains and the geopolitical conditions in the region. With regard to water consumption topics, President El-Sisi raised the issue of water consumption approaches in Siwa, including well drilling, emphasizing the importance of state intervention to ensure the governance of this situation. In connection with matters relating to Egypt’s lakes, the President noted that, over the past decades, the lakes had been subjected to encroachments, neglect, and various violations, which had led to a decline in their fish production. The President highlighted the efforts undertaken by the State in this regard and its action to address encroachments and violations affecting the lakes. These efforts had resulted in restoring the lakes to their natural state, including Lake Bardawil, Lake Manzala, and Lake Nasser. In this context, President El-Sisi reiterated that the deterioration of state agencies and their inability to maintain control over the situation had necessitated the establishment of another entity to address the accumulated, long-standing challenges, particularly those affecting the lakes. The President reaffirmed that the goal was to restore the lakes to their natural state, which had prompted the State to assign responsibility for overseeing the lakes to the Future of Egypt Authority for Sustainable Development. The President expressed hope that fish production from these lakes would return to its normal levels, particularly in light of the substantial population growth. President El-Sisi also mentioned that the lakes had been subjected to various violations, including the discharge of sewage and agricultural drainage water into some of them. The President underscored that the State’s efforts would benefit citizens, particularly those in Port Said, Damietta, and Dakahlia. President El-Sisi pointed out that Egypt had gained experience in land reclamation over previous decades, but the results had not been as successful as hoped. The President highlighted that the achievements made in land reclamation since 2014 were unprecedented in both scale and significance. The President also indicated that the State was open to allowing the private sector to purchase reclaimed land, provided that the plots were sufficiently large to avoid the fragmentation of agricultural land, which had not been in Egypt’s best interests. President El-Sisi further highlighted the efforts undertaken since 2014 to reclaim land, affirming that the State was prepared to reclaim ten million feddans, provided that the necessary water resources were available. The President noted that the objective was to achieve tangible results, and for that purpose, the President insisted on implementing the New Delta project. The President outlined the extensive efforts and works undertaken as part of this massive national project, including the construction of large-scale water-lifting stations. In this regard, President El-Sisi underscored the importance of the role played by the Future of Egypt Authority for Sustainable Development. A blockbuster is a product that is expected to deliver a peak sales potential of at least 500 million euros. Plenexos™ insecticide and the Preceon™ Smart Corn System have already started to be commercialized. In soy, Vyconic™ 1 is expected for introduction next year in the United States and Canada, and Intacta 5+™1 introduction is expected for the 2027/2028 growing season in Brazil. “We are delivering on the promises we made and bringing a new generation of game-changing products to farmers. By connecting seed and crop protection innovation we can deliver whole-farm solutions that help growers manage risk, capture yield potential and improve return on investment,” said Rodrigo Santos, Member of the Board of Management of Bayer AG and Head of the Crop Science Division. “We pursue a very diligent and differentiated strategy for each of our segments, addressing different growth dynamics, farmer needs, and regional and competitive dynamics. Because we have scale, we see having these different business segments together as a significant strategic advantage – one that plays out in what we innovate and how we can serve growers.” The Preceon™ Smart Corn System, a digitally enabled short-stature corn system, is already delivering on-farm value in Mexico, Italy, Spain, and the U.S. This year, the commercial launch in Argentina will begin. It delivers a unique combination of benefits for growers, including increased protection against weather extremes, flexibility to plant at higher densities, improved accessibility for standard farm equipment throughout the season, and a larger root system, all supporting reduced agronomic risk, higher yield potential and better return on investment for farmers. By 2035, Bayer targets a market penetration of 26 million acres. Preceon™ is also unique by embedding digital capabilities within the system through FieldView™. More than a sales enablement platform, it serves as a collaboration tool between farmers and their agronomic advisors and helps customers realize the full agronomic and economic potential of the system. Plenexos™, a new insecticide targeting a broad spectrum of sucking pests, has been introduced in Colombia, with Mexico, Brazil, and the U.S. set to follow. Compared to other products, farmers can use up to 75 percent less active ingredient to control pests2 which also helps safeguard pollinators, beneficial insects and other non-target organisms. With a focus on soy, cotton, fruits and vegetables, Plenexos™ is anticipated to reach a peak sales potential of 500 million euros by the mid-2030s. Vyconic™ will be the industry's first soybean trait stack with tolerance to five herbicides. It is designed to provide growers with more flexibility in their weed control options and to better manage weed pressure and increasingly problematic resistance. Because of the integration with Bayer’s advanced breeding pipeline, Vyconic™ will be introduced in elite-performing varieties that have demonstrated a yield increase of more than two bushels per acre, meaning that farmers realize the full value of both increased genetic yield potential and weed control flexibility earlier than ever. Bayer anticipates strong adoption of Vyconic™ and subsequent launch of HT5, helping to regain trait leadership position in North America by 2032. Intacta 5+™ will also bring five herbicide tolerances to Brazilian growers, and adds new insect protection traits specifically designed for the Brazilian market. In soy, these and the next generation of herbicide tolerance traits, combined with the newest insect protection traits, are expected to reach a peak sales potential of more than 3 billion euros. Additional blockbusters expected before the end of the decade include fourth-generation corn rootworm protection, as well as the groundbreaking herbicide Icafolin, targeting 750 million euros sales potential in the mid-2030s. Collectively, the 10 blockbusters will address pressing farmer challenges and are poised to contribute significantly to Bayer's growth over the coming decade. Bayer advances industry-leading innovation pipeline Alongside these launches, Bayer advances key projects across its Crop Science R&D pipeline and brings innovation to farmers continuously, introducing 400 to 500 new hybrids and varieties annually. This output is based on Bayer’s AI-enabled precision breeding platform, which doubles the yield improvement rate of every new generation (genetic gain) compared to historical breeding, and accelerates time to market threefold. The company’s researchers have further enhanced this breeding approach through genome editing, which they use at scale by integrating the technology early in breeding processes. One example is genome-edited soy: Higher-yielding soybean varieties can become more susceptible to leaning or falling over as plant height increases. Through genome editing, Bayer is developing soy with improved plant architecture to help address this challenge. Innovations like genome-edited standable soy and the advanced breeding pipeline come together to create new product concepts and value for growers that will come to the market early in the next decade. As another example of its connected R&D engine, Bayer is advancing new biotech traits in concert with its novel crop protection innovation. In early-stage development, the company is working on its sixth-generation herbicide tolerance, which is expected to also include tolerance against its blockbuster herbicide Icafolin. It is the first time the company simultaneously develops a new herbicide molecule and plant trait for tolerance, contributing to a holistic weed-control system that is unique in the industry. Bayer’s AI-powered R&D-CropKey platform is a key differentiator in Crop Protection, enabling the discovery of new modes of action and the design of targeted molecules assessing efficacy, safety, and sustainability at the very start of the R&D process. This has helped create a robust pipeline with more than 15 novel modes of action currently in the pipeline research phase, driven by CropKey. One example is a new broad-spectrum fungicide for soy with blockbuster potential. It is developed using CropKey and now advanced to phase II in the pipeline. “Whether in seeds, traits or crop protection innovation, AI is becoming a core enabler of Bayer’s innovation model, helping us advance discovery, improve development efficiency and translate biological insights into differentiated products for growers faster,” said Mike Graham, Head of Crop Science R&D. “Our advantage is that our teams work from the same biological insights, enabling us to combine expertise across disciplines and accelerate innovation.” Bayer is also using its unique R&D capabilities to expand into adjacent growth areas. With its emergent, but leading portfolio of intermediate biofuel crops, including camelina, winter oilseed rape and CoverCress™, the company contributes to meeting growing demand for biodiesel, renewable diesel and sustainable aviation fuel markets, estimated to increase almost threefold to 40 billion gallons by 2040. Bayer is also advancing its plans to sell hybrid wheat in Europe and North America by the early 2030s. This unlocks a largely untapped opportunity by bringing the benefits of hybridization to a crop grown on more than 500 million acres worldwide. With hybrid wheat, camelina, winter oilseed rape and CoverCress™, Bayer is entering four new crops at the same time. Bayer on track executing its Five-Year Framework Bayer’s innovation approach is enabled by execution of its Five-Year Framework strategy, which the Crop Science Division announced in 2025 to drive growth, resilience and profitability. The company continues to execute the strategy, and efforts are beginning to deliver tangible results. Bayer has made significant progress on cost reductions, amounting to almost 400 million euros to date, contributing to its EBITDA before special items improvement goal of 1 billion euros and supporting its ambition to achieve an EBITDA margin before special items in the mid-20s percentage range by the end of the decade. Actions included divesting five active ingredients and discontinuing more than 100 crop protection formulations. In addition, cash-flow measures are progressing, with inventory reductions of already 500 million euros, supporting Bayer’s ambition to reach a free operating cash flow of more than 3 billion euros by 2029. The Five-Year Framework’s goal of above-market growth and delivering more than 3.5 billion euros of incremental sales at constant currency through the end of the decade is supported by Bayer’s ongoing innovation delivery as well as strategic business decisions. Key growth drivers include excellent-yielding hybrids launched every year, accelerated technology adoption, market share gains and geographic expansion of proven technologies into Asian and EMEA markets. In the crop protection space, Bayer is pursuing growth through locally focused go-to-market initiatives, redeploying commercial resources to growth products and regions, and lifecycle management measures, like the introduction of Convintro™ in the United States, Brazil and Canada. Bayer’s progress is supported by its Dynamic Shared Ownership operating model, which enables faster decisions and clearer accountability, strengthening the company’s ability to lead in scaling AI-enabled opportunities across the business. “Our innovation strategy and our Five-Year Framework are built on execution,” said Rodrigo Santos. “We are making progress against the commitments we have made, and are set to lead the industry and bring value to our customers and shareholders by delivering differentiating solutions that growers around the world need.” Pictures and additional material can be downloaded here. All three divisions are on target, he noted. Bayer has also made decisive progress on its long-term strategic priorities, Anderson emphasized. The landmark US Supreme Court ruling in the Durnell case is one such example, he said, adding that it puts Bayer in a stronger position for the proposed class settlement agreement. “Overall, our containment strategy is in a strong place, with some important milestones ahead,” Anderson explained. Bayer is also advancing its other strategic priorities, Anderson said, pointing to progress in rejuvenating the Pharmaceuticals pipeline and executing the Five-Year Framework to improve profitability at Crop Science. In addition, Bayer’s lean, entrepreneurial operating model is driving efficiency gains across the entire Group, while also positioning the company well to effectively capitalize on the opportunities of artificial intelligence, he noted. “Over the past two and a half years, we’ve progressed in each of these areas. Each of them has demanded intense focus – and it’s imperative that we maintain that focus,” Anderson emphasized. “We’re concentrating on delivering our commitments and ensuring the best future for Bayer.” Dr. Judith Hartmann, who took over the CFO role in June, shared her perspective. “I am excited to be part of the team driving Bayer forward at such an important time in its journey. While we’ve delivered strong strategic and financial progress, including meaningful steps on our balance sheet, important opportunities remain ahead of us. Bayer benefits from a powerful innovation engine and growth prospects across all three businesses. Our financial priorities are clear: to further strengthen the balance sheet, enhance productivity and improve cash generation, while continuing to invest behind growth and creating sustainable value,” Hartmann said. Sales and EBITDA before special items up against prior year Group sales came in at 10.872 billion euros in the second quarter of 2026, up 2.2 percent on a currency- and portfolio-adjusted basis (Fx & portfolio adj.). There was a negative currency effect of 63 million euros (Q2 2025: 550 million euros). EBITDA before special items increased by 1.9 percent to 2.144 billion euros, and included a negative currency effect of 70 million euros (Q2 2025: 184 million euros). EBIT amounted to 827 million euros (Q2 2025: 13 million euros) after net special charges of 172 million euros (Q2 2025: 981 million euros) that were primarily attributable to litigation-related expenses. Net income came in at 219 million euros (Q2 2025: minus 199 million euros). Core earnings per share decreased by 16.7 percent to 0.95 euros, with the improvement in earnings in the Crop Science Division only partially offsetting a normalization in tax expense and lower earnings in the Reconciliation. Free cash flow amounted to minus 371 million euros (Q2 2025: 125 million euros), partly due to higher payments to resolve litigation. Net financial debt came in at 33.647 billion euros as of June 30, 2026, representing a 3.5 percent increase against March 31, 2026, and a 1.1 percent rise from a year-on-year perspective. Crop Science: Topline growth and efficiencies in cost of goods sold drive higher earnings In the agricultural business (Crop Science), sales increased by 3.5 percent (Fx & portfolio adj.) to 4.910 billion euros. Business was up at Soybean Seed & Traits and Cotton Seed following the return of the dicamba label in the United States, with gains of 16.9 and 69.2 percent (Fx & portfolio adj.), respectively. By contrast, sales at Corn Seed & Traits were down 2.5 percent (Fx & portfolio adj.), with substantial gains in Europe/Middle East/Africa and Asia/Pacific only partially offsetting lower volumes in North America, where business was impacted by volume phasing into the first quarter. In the Crop Protection business, growth was primarily driven by the division’s glyphosate-based herbicides. Sales of these products rose by 12.6 percent (Fx & portfolio adj.) fueled by higher volumes and prices, especially in Europe/Middle East/Africa. The Insecticides business recorded a 15.9 percent (Fx & portfolio adj.) increase in sales that was mainly attributable to higher volumes and prices in Europe/Middle East/Africa and Asia/Pacific. EBITDA before special items at Crop Science advanced by 30.2 percent to 902 million euros. The increase in earnings was largely fueled by high-margin topline growth as well as a decline in the cost of goods sold that was driven by efficiency programs, as the division continues implementation of its Five-Year Framework. The EBITDA margin before special items increased by 3.9 percentage points to 18.4 percent. Pharmaceuticals: Continued growth momentum for Nubeqa™ and Kerendia™ Sales of prescription medicines (Pharmaceuticals) came in at 4.458 billion euros, in line with the prior year (Fx & portfolio adj. plus 0.8 percent). The division again registered significant gains for its cancer drug Nubeqa™, as well as for Kerendia™, its product for the treatment of chronic kidney disease and heart failure. Nubeqa™ sales advanced by 63.9 percent (Fx & portfolio adj.), mainly driven by volume growth in the United States and Europe, while the 82.9 percent (Fx & portfolio adj.) rise in Kerendia™ sales was largely fueled by higher volumes in the United States and China. The Mirena™ product family also delivered very strong topline performance, especially in the United States, with global sales rising 9.0 percent (Fx & portfolio adj.). In the Radiology business, the division recorded gains of 26.8 and 8.1 percent (Fx & portfolio adj.) for Ultravist™ and CT Fluid Delivery, respectively. Business benefited from higher volumes, while prices remained stable. By contrast, Xarelto™ and Eylea™ sales were down significantly, as anticipated. After encountering headwinds from patent expirations, the oral anticoagulant posted a decline of 42.4 percent (Fx & portfolio adj.), while business with the ophthalmology drug decreased 32.8 percent (Fx & portfolio adj.). The Eylea™ 8 mg formulation offering extended treatment intervals accounted for around 55 percent of overall Eylea™ sales. EBITDA before special items at Pharmaceuticals decreased by 3.6 percent to 1.055 billion euros. The decline in earnings was primarily attributable to the division channeling higher investments toward marketing its growth products Lynkuet™ (for the hormone-free treatment of menopause symptoms), Nubeqa™ and Kerendia™. In addition, the prior-year quarter had benefited from proceeds from the sale of non-core businesses. By contrast, earnings benefited from a reduction in allocations to provisions for the Group-wide short-term incentive (STI) program, as well as an inventory write-back. The EBITDA margin before special items decreased by 0.8 percentage points to 23.7 percent. Consumer Health sales up in almost all categories and regions Following a strong first quarter, sales of self-care products (Consumer Health) increased by 1.5 percent (Fx & portfolio adj.) to 1.445 billion euros. Business was up in almost all categories, with Digestive Health delivering the strongest growth, at 9.4 percent (Fx & portfolio adj.). By contrast, sales in the Allergy & Cold category were down 8.0 percent (Fx & portfolio adj.) due to soft seasonality. Regionally, the division continued to face headwinds from a weak market environment in the United States, while business was up year on year in Europe/Middle East/Africa, Latin America and Asia/Pacific. EBITDA before special items at Consumer Health decreased by 3.6 percent to 319 million euros. The decline in earnings was mainly due to an increase in the cost of goods sold and unfavorable product mix effects. These headwinds were only partially offset by the division’s continuous cost and price management efforts. The EBITDA margin before special items declined by 1.1 percentage points to 22.1 percent.   Group sales and earnings up in first half of the year In the first six months of 2026, Group sales rose by 3.3 percent (Fx & portfolio adj.) to 24.277 billion euros. EBITDA before special items advanced 6.6 percent to 6.597 billion euros, while core earnings per share increased 3.4 percent to 3.66 euros. Currency-adjusted Group outlook confirmed Bayer has affirmed its currency-adjusted Group guidance for full-year 2026 for all metrics except net financial debt, which it now expects to come in lower than originally projected, at 29 to 30 billion euros (previous forecast: 32 to 33 billion euros). The revised guidance for this KPI reflects the already announced agreement with Apollo-managed funds and affiliates. They will obtain a minority, non-controlling stake in a newly established entity holding Bayer’s long-acting reversible contraceptives (LARC) business in exchange for a €3.0 billion capital contribution. In addition, applying the closing rates as of June 30, 2026, instead of March 31, 2026, results in the following changes: Group sales are now expected to come in at 44.7 to 46.7 billion euros (44.5 to 46.5 billion euros at previous closing rates), and core EPS at 4.20 to 4.70 euros (4.10 to 4.60 euros at previous closing rates). Hybrid wheat represents a large, untapped opportunity in the world’s most widely grown food crops and Bayer targets annual revenues of up to 1 billion euros after just over a decade after launch. The move is part of Bayer's growth ambitions beyond its current blockbuster launches by expanding its core portfolio to hybrid wheat as a key franchise. The new agreement with RAGT materially strengthens Bayer’s position in Europe, as it involves the broad licensing of elite wheat germplasm tailored for European environments. This gives Bayer the ideal foundation to further advance and deploy its powerful breeding engine based on its longstanding hybrid wheat R&D efforts, to develop innovations that provide greater productivity and sustainability to farmers at a time when many face challenging weather and growing conditions. “Wheat is one of the most important staple food crops in the world. But wheat production has stagnated and is coming under pressure from prolonged drought and heatwaves, such as the one we just experienced in Europe. At the same time, sturdier hybrid varieties of wheat are still not widely available,” said Peter Mueller, Cereals, Cotton, Canola/OSR & Biofuels Lead at Bayer’s Crop Science division. “Our deal with RAGT is about to change that. Combining RAGT’s top performing germplasm and know-how with our breeding capabilities will significantly boost and expand our pipeline of hybrid wheat varieties, allowing us to compete in a rapidly evolving market. With the North American program in full gear, we will deliver higher value to growers on both sides of the Atlantic.” Sébastien Chatre, Head of R&D at RAGT added, “We’re very excited about the potential of this broad licensing agreement with Bayer, as it represents a significant step in RAGT’s commitment to innovation in wheat breeding. By sharing our expertise, we can accelerate the development of hybrid wheat solutions that will benefit the entire market and meet the evolving needs of farmers and the seed industry.” For the European market, Bayer will focus its efforts on winter wheat. In North America, the company will introduce both spring and winter wheat, building on its successful WestBred wheat franchise. In both Europe and the U.S., the genetic material Bayer uses for breeding has the potential to fit in more than 80 percent of the wheat hectares, spanning across countries in Europe and across classes in the U.S. Bayer’s leading position in the crop protection space for wheat and the respective customer relations, combined with its access to elite germplasm for Europe and North America, precision breeding capabilities, seed production know-how, as well as digital and agronomic expertise will help the company build a competitive, holistic wheat system for farmers. Hybrid wheat to deliver higher yields Hybrid wheat seeds can increase wheat production without additional land or resource use, adding 10 percent compared to conventional open-pollinated wheat, right from the early stages of introduction of the new technology, with continuous additional yield gains going forward. Additional benefits for farmers include more reliability and robustness because key attributes of hybridization include an enhanced root system and faster growth to establish a strong crop against external factors, leading to potential better disease, weed and pest tolerance, and greater resilience to drought and heat. With hybridization of wheat still largely untapped, investing in hybrid wheat presents a unique opportunity for growth and enhanced food security. As the world’s number one food crop, wheat covers over 220 million hectares globally and feeds around 30 percent of the population, making it an essential source of the world’s calories and a staple crop for fighting hunger. With climates in wheat-growing regions becoming hotter and drier, demand is continuing to increase further for resilient hybrid seeds that offer higher and more stable yields. This decision, which reflects strong support across the ideological spectrum of the Court, helps to bring significant containment to the Roundup™ litigation. Glyphosate remains the most studied crop protection tool in the world and this decision affirms that the EPA’s safety determination is the law of the land, ensuring that companies cannot be punished under a patchwork of state tort laws for complying with federal labeling requirements. “This decision is good for American farmers who help feed the world. It provides the regulatory clarity necessary for innovators like us to develop the agricultural tools that guarantee an affordable food supply,” said Bayer CEO Bill Anderson. "This litigation has enormous costs for the company and has impacted public trust. The decision brings overdue justice on an issue that should have been clarified much earlier. It’s time to put it behind us. Strengthened by this ruling, we continue to pursue our multi-pronged containment strategy, which includes the previously announced class settlement.” The majority opinion states: “Durnell’s state law failure-to-warn claim would require a cancer warning on Roundup’s label — a requirement ‘in addition to’ and ‘different from’ the label required by EPA under FIFRA. FIFRA therefore expressly preempts Durnell’s claim.” Impact of the Ruling The holding in Durnell should result in the dismissal of current warnings-based claims and foreclose future claims based on state-failure-to-warn theories, which make up the vast majority of claims in the litigation to date. In February 2026, along with class counsel, Monsanto announced a proposed U.S. nationwide class settlement designed to resolve current and future Roundup™ claims alleging non-Hodgkin lymphoma injuries through a long-term compensation program. Monsanto previously explained that the class settlement and Supreme Court strategies were independently necessary and mutually reinforcing elements of the company’s multi-pronged containment strategy. Together with today’s positive ruling, the class – which has received preliminary approval – will help ensure that Monsanto can significantly contain this litigation. Good for farmers, food security, and American consumers For years, American farmers have operated under a cloud of legal uncertainty created not by science, but by the litigation industry. Glyphosate-based herbicides are a foundation of modern, sustainable agriculture. Their safe and effective use supports food security, keeps production costs affordable, makes no-till, sustainable farm practices possible, and allows farmers to do more with less. This ruling restores the regulatory clarity that the agricultural sector, the broader food supply chain, and American consumers deserve after nearly a decade of well-funded attacks by the plaintiffs’ bar. It also provides an opportunity to restore public trust in the scientific consensus on the safety of glyphosate-based herbicides. The studies reviewed by regulatory authorities on glyphosate’s safety in connection with recent registration reviews are publicly available at www.bayer.com/en/glyphosate-studies Court clarifies law that supports science The EPA has repeatedly and unequivocally determined that glyphosate is not likely to be carcinogenic. Every leading independent regulatory body worldwide that has conducted its own review of glyphosate safety — from the European Food Safety Authority to regulators across Asia and Latin America — has reached the same conclusion. This is not the judgment of any single agency or administration; it is the settled consensus of the world's foremost scientific experts. What has challenged this consensus is not new evidence — instead, it is largely a single, decade-old report from the International Agency for Research on Cancer (IARC) used in courtrooms by plaintiffs’ attorneys, despite the fact that every leading regulator in the world that has examined IARC’s report disagrees with its conclusions. Allowing this outlier report to override the expert determinations of federal regulatory agencies and scientists, despite the express uniformity requirements of federal law, has led to a patchwork of jury-by-jury requirements and uncertainties for manufacturers, farmers, and consumers alike. This decision restores the integrity of the scientific regulatory process and the independence of the experts within it. The long road to this moment This litigation has spanned years, consumed enormous resources, and distracted from what the company does best — promoting Health for all, Hunger for none. Many billions have been directed toward the Roundup™ litigation — money that could have funded the next generation of sustainable crop protection tools, breakthrough therapies, or other advances that farmers, consumers, and patients urgently need. These litigation costs diminish investments in innovation and are borne not just by the company, but by every patient waiting for a new therapy, every farmer waiting for a better tool, and every shareholder whose capital was diverted. Today marks the beginning of a new chapter in Health for all, Hunger for none. About Bayer Bayer is a global enterprise with core competencies in the life science fields of health care and nutrition. Commenting on the company’s strategic priorities, he explained that “we continue to advance our plan and we’re dialed in on delivering our commitments in the current year.” Group sales came in at 13.405 billion euros in the first quarter of 2026, up 4.1 percent on a currency- and portfolio-adjusted basis (Fx & portfolio adj.). There was a negative currency effect of 886 million euros (Q1 2025: 55 million euros). EBITDA before special items increased by 9.0 percent to 4.453 billion euros. This figure included a negative currency effect of 321 million euros (Q1 2025: 165 million euros). EBIT rose by 51.8 percent to 3.528 billion euros after net special gains of 324 million euros (Q1 2025: net special charges of 587 million euros) that mainly related to the sale of the global Avelox™ business for 250 million euros. Net income came in at 2.763 billion euros, and was therefore more than two times higher than a year earlier. Core earnings per share climbed 12.9 percent to 2.71 euros, largely driven by the increase in earnings at the Crop Science Division. However, growth was partially held back by a negative currency effect of 0.20 euros (Q1 2025: 0.13 euros). Free cash flow came in at minus 2.320 billion euros (Q1 2025: minus 1.528 billion euros). This was mainly attributable to payments to resolve legal proceedings, which increased as expected and largely related to the PCB and glyphosate litigations. Overall, these payments resulted in a net outflow of 2.002 billion euros (Q1 2025: 66 million euros). Net financial debt as of March 31, 2026, came in at 32.518 billion euros, up 9.0 percent from December 31, 2025, as a result of the negative free cash flow. Compared to March 31, 2025, however, net financial debt was down 5.1 percent. Crop Science posts gains in seed and traits In the agricultural business (Crop Science), sales increased by 6.8 percent (Fx & portfolio adj.) to 7.558 billion euros. Growth was mainly driven by Soybean Seed & Traits, which saw sales double (Fx & portfolio adj.) largely due to the previously announced resolution of a licensing agreement with Corteva in North America, with this effect contributing the equivalent of 448 million euros to the topline. The Soybean Seed & Traits business also benefited from price recovery following the return of the dicamba label in the United States. In addition, the division posted a gain of 7.1 percent (Fx & portfolio adj.) at Corn Seed & Traits that was fueled by higher volumes at the start of season in North America and growth across all other regions as well. By contrast, the crop protection business declined, as expected. At Herbicides, for example, sales were down 10.2 percent (Fx & portfolio adj.) overall, with glyphosate-based products experiencing a 15.1 percent decline (Fx & portfolio adj.). In addition, sales at Fungicides decreased 10.7 percent (Fx & portfolio adj.). EBITDA before special items at Crop Science rose by 17.9 percent to 3.014 billion euros. Strong growth in the Soybean Seed & Traits and Corn Seed & Traits businesses, as well as a decrease in the cost of goods sold due to efficiency programs more than offset the negative currency effect of 277 million euros (Q1 2025: 26 million euros). The EBITDA margin before special items increased by 6.2 percentage points to 39.9 percent, in line with the strategic objectives of the Five-Year Framework announced in 2025. Pharmaceuticals records further significant gains for Nubeqa™ and Kerendia™ Sales of prescription medicines (Pharmaceuticals) came in at 4.249 billion euros, in line with the prior year (Fx & portfolio adj. minus 0.5 percent). The division again registered significant gains for Nubeqa™, the cancer drug, and Kerendia™, for the treatment of chronic kidney disease and heart failure. Nubeqa™ sales advanced 57.1 percent (Fx & portfolio adj.) thanks to higher volumes in the United States and Europe, while Kerendia™ sales were up 84.2 percent (Fx & portfolio adj.) due to volume growth in the United States and China. In addition, the division posted further gains in the Radiology business, which includes products such as Ultravist™ and CT Fluid Delivery, with growth driven by higher volumes. By contrast, sales of the oral anticoagulant Xarelto™ declined substantially as expected, falling 40.4 percent (Fx & portfolio adj.) due to patent expirations, while business with the ophthalmology drug Eylea™ was down 20.5 percent (Fx & portfolio adj.) as a result of competitive pressure from generics. The launch of Eylea™ 8 mg offering extended treatment intervals accounted for around 46 percent of overall Eylea™ sales. EBITDA before special items at Pharmaceuticals declined by 7.5 percent to 1.242 billion euros. The decline in earnings was largely due to an increase in selling expenses that primarily related to the marketing of Lynkuet™ (elinzanetant), Bayer’s non-hormonal treatment for menopause symptoms, as well as Nubeqa™ and Kerendia™. Furthermore, the division made higher investments in its R&D activities. In addition, earnings were diminished by price declines, which were mainly attributable to patent expirations and were only partially offset by higher volumes. There was also a negative currency effect of 77 million euros (Q1 2025: 48 million euros). By contrast, earnings benefited from an increase in income from the sale of non-core businesses as well as lower inventory write-offs. The EBITDA margin before special items declined by 0.3 percentage points to 29.2 percent. Consumer Health reports topline growth (Fx & portfolio adj.) driven by Nutritionals and Dermatology Sales of self-care products (Consumer Health) rose by 5.3 percent (Fx & portfolio adj.) to 1.491 billion euros. The division registered gains (Fx & portfolio adj.) in almost all categories and regions. Performance was driven by the Nutritionals and Dermatology categories, which saw sales rise 12.5 percent and 9.6 percent (Fx & portfolio adj.), respectively. Growth in the Nutritionals category was fueled by very strong performance in the Natsana e-commerce business, along with good topline results for Elevit™ that were partly driven by a product-line extension. The Dermatology category continued to benefit from substantial gains for Bepanthen™ in Europe/Middle East/Africa. However, the division continued to encounter a weak market environment in the United States, along with a soft cold season, that weighed on growth. EBITDA before special items at Consumer Health decreased by 1.5 percent to 337 million euros. Earnings were impacted by a negative currency effect of 31 million euros (Q1 2025: no material currency effects) and higher investments in marketing the division’s innovative products. These effects were largely offset by the increase in sales as well as a one-time gain from the sale of minor, non-strategic brands. The EBITDA margin before special items declined by 0.2 percentage points to 22.6 percent.
