Bayer signs licensing agreement with RAGT and begins broad hybrid wheat commercialization by early 2030s

Monheim, July 15, 2026 – Bayer enters an exclusive licensing agreement with RAGT, a leading company in the European wheat seed market, advancing its plans to sell hybrid wheat seeds in Europe and North America simultaneously by the early 2030s. Hybrid wheat represents a large, untapped opportunity in the world’s most widely grown food crops and Bayer targets annual revenues of up to 1 billion euros after just over a decade after launch. The move is part of Bayer's growth ambitions beyond its current blockbuster launches by expanding its core portfolio to hybrid wheat as a key franchise. The new agreement with RAGT materially strengthens Bayer’s position in Europe, as it involves the broad licensing of elite wheat germplasm tailored for European environments. This gives Bayer the ideal foundation to further advance and deploy its powerful breeding engine based on its longstanding hybrid wheat R&D efforts, to develop innovations that provide greater productivity and sustainability to farmers at a time when many face challenging weather and growing conditions. “Wheat is one of the most important staple food crops in the world. But wheat production has stagnated and is coming under pressure from prolonged drought and heatwaves, such as the one we just experienced in Europe. At the same time, sturdier hybrid varieties of wheat are still not widely available,” said Peter Mueller, Cereals, Cotton, Canola/OSR & Biofuels Lead at Bayer’s Crop Science division. “Our deal with RAGT is about to change that. Combining RAGT’s top performing germplasm and know-how with our breeding capabilities will significantly boost and expand our pipeline of hybrid wheat varieties, allowing us to compete in a rapidly evolving market. With the North American program in full gear, we will deliver higher value to growers on both sides of the Atlantic.” Sébastien Chatre, Head of R&D at RAGT added, “We’re very excited about the potential of this broad licensing agreement with Bayer, as it represents a significant step in RAGT’s commitment to innovation in wheat breeding. By sharing our expertise, we can accelerate the development of hybrid wheat solutions that will benefit the entire market and meet the evolving needs of farmers and the seed industry.” For the European market, Bayer will focus its efforts on winter wheat. In North America, the company will introduce both spring and winter wheat, building on its successful WestBred wheat franchise. In both Europe and the U.S., the genetic material Bayer uses for breeding has the potential to fit in more than 80 percent of the wheat hectares, spanning across countries in Europe and across classes in the U.S. Bayer’s leading position in the crop protection space for wheat and the respective customer relations, combined with its access to elite germplasm for Europe and North America, precision breeding capabilities, seed production know-how, as well as digital and agronomic expertise will help the company build a competitive, holistic wheat system for farmers. Hybrid wheat to deliver higher yields Hybrid wheat seeds can increase wheat production without additional land or resource use, adding 10 percent compared to conventional open-pollinated wheat, right from the early stages of introduction of the new technology, with continuous additional yield gains going forward. Additional benefits for farmers include more reliability and robustness because key attributes of hybridization include an enhanced root system and faster growth to establish a strong crop against external factors, leading to potential better disease, weed and pest tolerance, and greater resilience to drought and heat. With hybridization of wheat still largely untapped, investing in hybrid wheat presents a unique opportunity for growth and enhanced food security. As the world’s number one food crop, wheat covers over 220 million hectares globally and feeds around 30 percent of the population, making it an essential source of the world’s calories and a staple crop for fighting hunger. With climates in wheat-growing regions becoming hotter and drier, demand is continuing to increase further for resilient hybrid seeds that offer higher and more stable yields. Monsanto wins landmark Roundup™ case at U.S. Supreme Court

Leverkusen, June 25, 2026 – The U.S. Supreme Court issued a 7:2 landmark ruling in the Durnell Roundup™ case on Thursday, affirming that the Federal Insecticide, Fungicide, and Rodenticide Act (FIFRA) expressly preempts state-law-based failure-to-warn claims when the U.S. Environmental Protection Agency (EPA) has made a definitive determination on product safety. This decision, which reflects strong support across the ideological spectrum of the Court, helps to bring significant containment to the Roundup™ litigation. Glyphosate remains the most studied crop protection tool in the world and this decision affirms that the EPA’s safety determination is the law of the land, ensuring that companies cannot be punished under a patchwork of state tort laws for complying with federal labeling requirements. “This decision is good for American farmers who help feed the world. It provides the regulatory clarity necessary for innovators like us to develop the agricultural tools that guarantee an affordable food supply,” said Bayer CEO Bill Anderson. "This litigation has enormous costs for the company and has impacted public trust. The decision brings overdue justice on an issue that should have been clarified much earlier. It’s time to put it behind us. Strengthened by this ruling, we continue to pursue our multi-pronged containment strategy, which includes the previously announced class settlement.” The majority opinion states: “Durnell’s state law failure-to-warn claim would require a cancer warning on Roundup’s label — a requirement ‘in addition to’ and ‘different from’ the label required by EPA under FIFRA. FIFRA therefore expressly preempts Durnell’s claim.” Impact of the Ruling The holding in Durnell should result in the dismissal of current warnings-based claims and foreclose future claims based on state-failure-to-warn theories, which make up the vast majority of claims in the litigation to date. In February 2026, along with class counsel, Monsanto announced a proposed U.S. nationwide class settlement designed to resolve current and future Roundup™ claims alleging non-Hodgkin lymphoma injuries through a long-term compensation program. Monsanto previously explained that the class settlement and Supreme Court strategies were independently necessary and mutually reinforcing elements of the company’s multi-pronged containment strategy. Together with today’s positive ruling, the class – which has received preliminary approval – will help ensure that Monsanto can significantly contain this litigation. Good for farmers, food security, and American consumers For years, American farmers have operated under a cloud of legal uncertainty created not by science, but by the litigation industry. Glyphosate-based herbicides are a foundation of modern, sustainable agriculture. Their safe and effective use supports food security, keeps production costs affordable, makes no-till, sustainable farm practices possible, and allows farmers to do more with less. This ruling restores the regulatory clarity that the agricultural sector, the broader food supply chain, and American consumers deserve after nearly a decade of well-funded attacks by the plaintiffs’ bar. It also provides an opportunity to restore public trust in the scientific consensus on the safety of glyphosate-based herbicides. The studies reviewed by regulatory authorities on glyphosate’s safety in connection with recent registration reviews are publicly available at www.bayer.com/en/glyphosate-studies Court clarifies law that supports science The EPA has repeatedly and unequivocally determined that glyphosate is not likely to be carcinogenic. Every leading independent regulatory body worldwide that has conducted its own review of glyphosate safety — from the European Food Safety Authority to regulators across Asia and Latin America — has reached the same conclusion. This is not the judgment of any single agency or administration; it is the settled consensus of the world's foremost scientific experts. What has challenged this consensus is not new evidence — instead, it is largely a single, decade-old report from the International Agency for Research on Cancer (IARC) used in courtrooms by plaintiffs’ attorneys, despite the fact that every leading regulator in the world that has examined IARC’s report disagrees with its conclusions. Allowing this outlier report to override the expert determinations of federal regulatory agencies and scientists, despite the express uniformity requirements of federal law, has led to a patchwork of jury-by-jury requirements and uncertainties for manufacturers, farmers, and consumers alike. This decision restores the integrity of the scientific regulatory process and the independence of the experts within it. The long road to this moment This litigation has spanned years, consumed enormous resources, and distracted from what the company does best — promoting Health for all, Hunger for none. Many billions have been directed toward the Roundup™ litigation — money that could have funded the next generation of sustainable crop protection tools, breakthrough therapies, or other advances that farmers, consumers, and patients urgently need. These litigation costs diminish investments in innovation and are borne not just by the company, but by every patient waiting for a new therapy, every farmer waiting for a better tool, and every shareholder whose capital was diverted. Today marks the beginning of a new chapter in Health for all, Hunger for none. About Bayer Bayer is a global enterprise with core competencies in the life science fields of health care and nutrition. Bayer’s low-dose MRI contrast agent approved in U.S.

Not intended for U.S. and UK Media   Bayer’s low-dose MRI contrast agent gadoquatrane approved in U.S.   Gadoquatrane from Bayer receives FDA approval for contrast-enhanced MRI to detect and visualize lesions with abnormal vascularity in the central nervous system and non-CNS body regions / Gadoquatrane becomes the lowest-dose macrocyclic gadolinium (Gd)-based contrast agent (mGBCA) approved in the U.S., with a recommended dose of 0.01 mmol/kg actual body weight, corresponding to 0.04 mmol Gd/kg body weight / Approval is supported by data from the Phase III QUANTI clinical studies, which demonstrated efficacy at a fraction of the dose compared to mGBCAs dosed at 0.1 mmol Gd/kg body weight / Gadoquatrane received its first approval in Japan in March 2026, further submissions to health authorities worldwide are ongoing to secure marketing authorization in additional markets Berlin, June 15, 2026 – Bayer today announced that the U.S. Food and Drug Administration (FDA) approved gadoquatrane, a new, intravenous macrocyclic gadolinium (Gd)-based contrast agent (mGBCA) under the brand name Ambelvist™. The product is indicated for contrast-enhanced magnetic resonance imaging (MRI) to detect and visualize lesions with abnormal vascularity in the central nervous system (CNS) and non-CNS body regions in adult and pediatric patients, including term neonates. Gadoquatrane is a next-generation mGBCA with a novel tetrameric structure and high relaxivity (a measure of signal enhancement). With this approval, gadoquatrane becomes the lowest dose mGBCA in the U.S. It has a recommended dose of 0.01 mmol/kg actual body weight (which corresponds to 0.04 mmol Gd/kg body weight), representing 60% less Gd compared to mGBCAs with a Gd content of 0.1 mmol Gd/kg body weight and 20% less Gd compared to gadopiclenol dosed at 0.05 mmol Gd/kg body weight. There is a rising need for medical imaging, driven by the increasing incidence of chronic diseases such as cancer and cardiovascular diseases. Contrast-enhanced MRI is a medical imaging examination often used by clinicians to gain insight into what’s happening in the human body and can play an important role in detecting abnormalities, monitoring disease progression and informing treatment decisions. For some adults and children with chronic diseases or conditions that require close, long-term monitoring – such as multiple sclerosis, other neurological or spinal conditions as well as different types of cancer – regular, repeat administrations may be required. “I often rely on contrast-enhanced MRI exams to inform clinical decision making,” said Dr. Christopher Hancock, Director of Neuroradiology at HALO Diagnostics Desert Cities, USA, and an investigator for the QUANTI clinical studies. “With this approval, we now have an additional option that can help deliver contrast-enhanced images at the lowest macrocyclic GBCA dose, reducing gadolinium exposure while preserving the clinical information we often need.” “Bayer is a leader in radiology and has played a pioneering role in MRI contrast agent development, having launched the first gadolinium-based contrast agent in 1988,” said Dr. Konstanze Diefenbach, Head of Radiology R&D at Bayer’s Pharmaceuticals Division. “With gadoquatrane – a next generation high-relaxivity, low-dose MRI contrast agent demonstrating high stability – we continue driving advances for patients and their treating physicians. Reducing patients’ lifetime exposure to gadolinium is an important consideration and reflects the growing clinical guidance to use the lowest gadolinium dose necessary to adequately image patients.” Gadoquatrane received its first approval in Japan in March 2026, and Bayer has submitted applications for marketing authorization in additional markets around the world, including the EU and China, with more to follow. Key Clinical Trial Findings The FDA’s approval is based on the global pivotal Phase III QUANTI clinical studies, which evaluated the efficacy and safety of gadoquatrane in adult and pediatric patients, including term neonates, undergoing contrast-enhanced MRI. Key findings demonstrated: ·         Increased lesion visualization with the combined pre-contrast and post-contrast MRI sets with the decreased Gd dose in gadoquatrane compared with only pre-contrast MRI images. ·         Visualization scores and number of lesions identified per blinded independent reader for gadoquatrane dosed at 0.01 mmol/kg body weight (which corresponds to 0.04 mmol Gd/kg body weight) were similar to mGBCAs with a Gd content of 0.1 mmol Gd/kg body weight. ·         Use in children is supported by evidence from adequate and well-controlled studies of gadoquatrane in adults, with additional pharmacokinetic and safety data from the pediatric study, including 93 patients aged 28 days to less than 18 years who received one 0.01mmol/kg dose and underwent MRI of any body region. About gadoquatrane Gadoquatrane is Bayer’s extracellular macrocyclic contrast agent for contrast enhancement in MRI. This low-dose gadolinium-based contrast agent features a distinct tetrameric structure with high stability and high relaxivity. The compound has been approved under the brand name Ambelvist™ in Japan in March 2026 and in the U.S. in June 2026. It has not been approved in any other jurisdiction. Bayer has submitted applications for marketing authorization of gadoquatrane in additional markets around the world. About MRI MRI is a non-invasive, radiation-free imaging method that provides detailed images of the body, helping to identify and distinguish potential abnormalities in organs and tissues. This supports physicians in answering critical medical questions related to the detection and monitoring of diseases. MRI contrast agents commonly contain gadolinium. For 2024, it is estimated that over 60 million doses of gadolinium-based contrast agents were administered worldwide. Cumulatively, since 1988, more than 900 million GBCA doses have been delivered globally. About Radiology at Bayer Building on a century of expertise, Bayer is committed to innovative products and high-quality services in diagnostic imaging to enhance patient care. Its leading radiology portfolio features contrast agents and devices for precise administration across modalities including computed tomography (CT), X-ray and magnetic resonance imaging (MRI), and positron emission tomography (PET). European Medicines Agency confirms Bayer’s FXIa inhibitor marketing authorization application for assessment in secondary prevention of ischemic stroke

Not intended for U.S. and UK Media   European Medicines Agency confirms asundexian marketing authorization application for assessment in secondary prevention of ischemic stroke   This application for asundexian is the first marketing authorization application submission of a Factor XIa (FXIa) inhibitor in Europe and is based on positive data from the pivotal, global Phase III OCEANIC-STROKE study / With increasing prevalence of ischemic stroke and stroke-related mortality, stroke is the second leading cause of death in Europe   Berlin, June 10, 2026 – Bayer today announced that the European Medicines Agency (EMA) has positively validated and begun assessing the company’s marketing authorization application for asundexian, an oral Factor XIa (FXIa) inhibitor, in the prevention of ischemic stroke in adults after a non-cardioembolic ischemic stroke or a high-risk transient ischemic attack (TIA). Validation of the application confirms the submission is complete and begins the EMA’s centralized review procedure. Stroke is a growing public health issue, affecting around 10 million people in Europe who are living with the consequences of stroke and more than one million people who are newly impacted each year. Globally, and in Europe, stroke is the second leading cause of death, resulting in a significant burden on healthcare systems with estimated global costs reaching 891 billion US-Dollar annually. “Between 2010 and 2019, the prevalence of ischemic stroke and stroke-related mortality increased by 4 percent and 7 percent, respectively, across EU member states underscoring the growing burden of this disease,” said Christian Rommel, Ph.D., Global Head of Research and Development at Bayer`s Pharmaceuticals Division. “The acceptance of our marketing authorization application by the EMA is a testament to our unwavering commitment to offering patients in need novel treatment options.” Bayer is continuing to submit applications for marketing authorization for asundexian to other health authorities globally. China’s Center of Drug Evaluation and the U.S. Food and Drug Administration (FDA) have recently granted asundexian Priority Review designation. About OCEANIC-STROKE The Phase III OCEANIC-STROKE study investigated the efficacy and safety of the oral Factor XIa inhibitor asundexian 50 mg once-daily compared to placebo, for prevention of ischemic stroke in patients after a non-cardioembolic ischemic stroke or high-risk transient ischemic attack (TIA) in combination with antiplatelet therapy. It is a multicenter, international, randomized, placebo-controlled, double-blind, parallel group and event-driven study, that randomized 12,327 participants worldwide. The primary efficacy endpoint was time to ischemic stroke; the primary safety endpoint was ISTH major bleeding. The full results from OCEANIC-STROKE have been published in The New England Journal of Medicine.
