Loyalist Announces Closing of Shares for Debt Transaction and Termination of Non-Brokered Private Placement

TORONTO, ON - October 16, 2026 - Loyalist Exploration Limited (CSE:PNGC) (“Loyalist” or the “Company”) announces that it has terminated its previously announced non-brokered private placement (the “Offering”) and that no further tranches or closings of the Offering will be completed. As previously announced in the Company’s press release dated August 31, 2026, the Company closed the first tranche (the “First Tranche”) of the Offering, consisting of the sale of 25,000,000 common shares in the capital of the Company (“Common Shares”) at a price of $0.04 per Common Share for gross proceeds to the Company of $1,000,000. The First Tranche represents the final closing of the Offering. The Offering was originally announced in the Company’s press release dated August 10, 2026. The Company is also pleased to announce the closing of a shares for debt transaction (the “Shares for Debt Transaction”), pursuant to which the Company settled an aggregate of $113,285.00 of outstanding indebtedness owing to certain creditors through the issuance of 2,832,125 Common Shares at a price of $0.04 per Common Share. All securities issued in connection with the Shares for Debt Transaction are subject to a hold period expiring four months and one day after the date of issuance. Errol Farr, President and CEO of Loyalist, commented: “We are grateful for the support of our subscribers, which has enabled us to achieve our objective of funding the ongoing Tully PEA. With this capital in place, we continue to execute on our strategy of becoming the next gold producer in the Timmins camp by systematically advancing Tully toward a fully funded and permitted mining operation.” The Shares for Debt Transaction included the settlement of an aggregate of $45,000 of indebtedness owing to Errol Farr, the President, Chief Executive Officer and a director of the Company and to Leonard Mackenzie, the Vice President of Exploration of the Company, through the issuance of an aggregate of 1,125,000 Common Shares. Messrs. Farr and Mackenzie are each a “related party” of the Company within the meaning of Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI 61-101”) and, accordingly, the Shares for Debt Transaction is a “related party transaction” for the purposes of MI 61-101. The Company is relying on the exemptions from the formal valuation and minority approval requirements contained in section 5.5(a) and section 5.7(1)(a) of MI 61‑101, respectively, on the basis that neither the fair market value of the subject matter of, nor the fair market value of the consideration for, the Shares for Debt Transaction, insofar as it involves Messrs. Farr and Mackenzie, exceeds 25% of the Company’s market capitalization. The proceeds from the First Tranche will be used to complete ongoing NI 43-101 technical reports including a resource estimate and preliminary economic assessment on the Company’s Tully project and ongoing production permitting work at Tully, property payments and general working capital. In connection with the First Tranche, the Company paid finder’s fees of $37,200 in cash to Haywood Securities Inc. (“Haywood”) and issued 930,000 non-transferable broker warrants to Haywood (the “Broker Warrants”). Each Broker Warrant entitles Haywood to acquire one Common Share at an exercise price of $0.075 per Common Share until August 31, 2028. All of the securities issued in connection with the First Tranche are subject to a hold period expiring four months and one day after the date of issuance. The securities offered have not been registered under the United States Securities Act of 1933, as amended, and may not be offered or sold in the United States or to, or for the account or benefit of, U.S. persons absent registration or an applicable exemption from registration requirements. This release does not constitute an offer for sale of securities in the United States. Neither the Canadian Securities Exchange nor its Market Regulator (as that term is defined in the policies of the Canadian Securities Exchange) have reviewed or accept responsibility for the adequacy or accuracy of this release. Three CFA Institute representatives travelled to Mauritius for the signing ceremony: Nerina Visser, CFA, Vice-Chair of the CFA Institute Presidents Council; Kasia Marianiuk, Director, Strategic Partnerships, EMEA-Africa; and Kingston Nwosu, Manager, Partnerships & Client Solutions, EMEA. FSi.Africa supports the development of financial services talent in Mauritius and across Africa through specialised training and professional development. Its Capability Framework is structured around ten capability clusters and twenty-four professional pathways, aligning learning with industry needs and supporting progression from foundational knowledge to advanced expertise. The partnership complements this framework by expanding access to CFA Institute certificates, particularly in capital markets and investing. The offering spans introductory and specialised programmes offered by CFA Institute. The partnership will make participating in the introductory and specialised programmes from CFA Institute more accessible, helping individuals and employers invest in continued learning and professional development. Rajeev Hasnah, First Deputy Governor, Bank of Mauritius, remarks: “The success of any International Financial Centre is not determined solely by its regulatory framework, infrastructure, or technology. A highly skilled, competent, and ethical workforce is the foundation upon which a sustainable and globally competitive financial centre is built. In this regard, the role of CFA Institute is particularly important. Its commitment to professional standards, ethics, and continuous learning contributes significantly to strengthening the capabilities of finance professionals around the world. As our financial sector evolves and becomes increasingly sophisticated, the demand for specialised expertise in investment management, risk management, sustainable finance, fintech, and regulatory compliance continues to grow. Regulatory authorities like the Bank of Mauritius or the Financial Services Commission play a critical role in this journey. Beyond safeguarding financial stability and market integrity, they are key partners in fostering an environment that encourages professional development, lifelong learning, and the adoption of international best practices.” Nitin Ramphul, Chief Executive Officer of FSi.Africa, said: “This collaboration with CFA Institute and CFA Society Mauritius marks an important milestone for FSi.Africa. By expanding access to six internationally recognised programmes, we are creating more opportunities for individuals to build expertise, enhance their employability and advance their careers. Aligned with our FSi Capability Framework, these programmes will help strengthen the skills needed to support the continued development and competitiveness of Mauritius’ financial services sector. This collaboration also supports our broader commitment to promoting financial literacy, particularly among young people, and equipping individuals to make informed financial decisions.” Chandradev (Sunju) Naregadu, CFA, President of CFA Society Mauritius, commented: “CFA Society Mauritius initiated this collaboration with a clear vision: to make high-quality, internationally recognised investment education more accessible and equip more Mauritians with the knowledge and ethical standards to pursue opportunities in financial services.  By bringing CFA Institute and FSi.Africa together, we are translating that vision into a practical pathway for learning and professional growth. This partnership also reflects our commitment to contributing meaningfully to the development of Mauritius as an International Financial Centre.” Tricia Rothschild, CFA, Interim President and Chief Executive Officer of CFA Institute, said: “Working together with FSi.Africa and CFA Society Mauritius, we can make practical, high-quality financial education more accessible to professionals in Mauritius and support people as they build skills throughout their careers.
